Product Terms and Conditions

Important: These Product Terms and Conditions govern the purchase, subscription, trial, access, installation, and use of Simetrix Consult Ltd. software products, including Modern Timeline, unless a separate written agreement signed by Simetrix Consult Ltd. expressly states otherwise.

1. Parties

These Product Terms and Conditions are entered into between Simetrix Consult Ltd., a company registered in Bulgaria (“Simetrix Consult”, “we”, “us”, or “our”), and the customer, organization, or individual accessing, installing, subscribing to, or using the product (“Customer”, “you”, or “your”).

2. Products Covered

These terms apply to Simetrix Consult software products, including but not limited to Modern Timeline, a Microsoft Dynamics 365 / Power Apps component delivered as a PCF control and managed solution.

Additional product-specific terms may apply and will be referenced on the applicable product page, order form, quotation, invoice, Microsoft Marketplace listing, or written agreement.

3. Acceptance of Terms

By purchasing, subscribing to, installing, activating, accessing, or using the product, you agree to be bound by these Product Terms and Conditions, the End User License Agreement, the Licensing Policy, the Support Policy, and the Privacy Policy.

If you do not agree to these documents, you must not install, activate, access, or use the product.

4. Product Description

Modern Timeline is a Dynamics 365 / Power Apps solution designed to improve the activity timeline experience in model-driven applications. It is delivered as a PCF control and managed solution and is intended for use inside a Customer’s Microsoft Dataverse / Dynamics 365 environment.

The product requires a valid activation key and periodic online license validation.

5. Subscription and Trial Use

The product is provided on a subscription basis, either monthly or annually, unless otherwise agreed in writing. A trial subscription is valid for seven (7) days unless a different trial period is approved by Simetrix Consult in writing.

The subscription term begins when the activation key is generated and provided to the Customer, not when the Customer first installs, configures, or uses the product.

6. Fees, Invoices, and Payment

Fees are based on the applicable quotation, invoice, order form, marketplace subscription, or written agreement. Pricing may depend on the licensed Microsoft Dynamics 365 environment and the number of active Dynamics 365 licensed users.

The Customer is responsible for ensuring timely payment of all invoices. If payment is not received, or if a subscription expires, access to the product may be disabled or suspended in accordance with the Licensing Policy.

7. License Scope

Each activation key is valid for one (1) Microsoft Dynamics 365 / Power Apps environment only and is tied to the Customer’s environment URL and organization ID. The product may not be used in any other production, sandbox, development, test, backup, disaster recovery, or additional environment unless separately licensed or expressly approved by Simetrix Consult in writing.

Use of the product is also limited by the active Dynamics 365 licensed user count declared, purchased, or otherwise agreed with Simetrix Consult.

8. Customer Obligations

The Customer must:

  • provide accurate organization URL, organization ID, and active Dynamics 365 licensed user count;
  • maintain valid Microsoft Dynamics 365 / Power Apps licensing;
  • ensure internet access is available for license validation;
  • install product updates when needed;
  • report bugs with clear reproduction steps;
  • not misuse, modify, reverse engineer, redistribute, or bypass licensing restrictions.

9. Prohibited Conduct

The Customer must not, and must not permit any third party to:

  • reverse engineer, decompile, disassemble, copy, clone, replicate, or attempt to derive the source code or underlying logic of the product;
  • modify the managed solution, source code, licensing logic, activation process, validation mechanism, or product functionality;
  • bypass, disable, tamper with, or interfere with license validation or activation controls;
  • share, transfer, resell, sublicense, publish, distribute, or make available activation keys or product components;
  • use the product outside the licensed environment or above the licensed active user count;
  • use the product for illegal activity, security attacks, unauthorized data extraction, excessive load generation, or abusive behavior.

10. Suspension and Termination

Simetrix Consult may suspend, deactivate, revoke, or terminate access to the product if:

  • the subscription expires;
  • payment is overdue;
  • license validation fails;
  • the Customer exceeds the licensed active user count;
  • the Customer breaches these terms or any related legal document;
  • unauthorized copying, redistribution, modification, license bypassing, or other misuse is detected or reasonably suspected.

Where appropriate and permitted by applicable law, Simetrix Consult reserves the right to pursue legal remedies, report serious misuse to Microsoft, and notify relevant authorities.

11. Product Updates

Updates and bug fixes are included during an active paid subscription. Updates are not deployed automatically. The Customer is responsible for installing or importing the updated managed solution version into the relevant Microsoft Dynamics 365 / Power Apps environment.

12. Support

Support is provided by email at support@simetrixconsult.com. The standard response time is up to forty-eight (48) hours, excluding Bulgarian national holidays. Support is provided in accordance with the Support Policy.

13. Data, Telemetry, and Privacy

The product does not transmit Customer business data outside the Customer’s tenant. Simetrix Consult may process activation metadata, license metadata, telemetry, organization identifiers, environment URL, organization ID, expiration date, and related technical data for license validation, support, diagnostics, security, and product improvement.

Data processing is further described in the Privacy Policy.

14. Microsoft Services

The product is designed for use with Microsoft Dynamics 365, Microsoft Dataverse, Microsoft Power Apps, and related Microsoft services. Simetrix Consult is not responsible for Microsoft service availability, Microsoft licensing, Microsoft platform changes, or restrictions imposed by Microsoft.

15. Warranty Disclaimer

The product is provided on an “as is” and “as available” basis. Simetrix Consult will assess support inquiries and make commercially reasonable efforts to assist Customers, but does not guarantee uninterrupted operation, error-free performance, compatibility with every Customer customization, or that all reported issues can be resolved.

16. Limitation of Liability

To the maximum extent permitted by applicable law, Simetrix Consult’s total aggregate liability arising from or related to the product shall not exceed the amount paid by the Customer under the then-current invoice for the affected subscription period.

Liability applies only where the Customer has promptly reported the issue, provided reasonable cooperation and diagnostic information, allowed Simetrix Consult reasonable opportunity to investigate and resolve the issue, and Simetrix Consult has not been able to resolve the issue despite commercially reasonable efforts.

Simetrix Consult shall not be liable for indirect, incidental, special, punitive, consequential, or business interruption damages, including loss of profits, loss of revenue, loss of goodwill, loss of data, or loss of business opportunity.

17. Intellectual Property

All intellectual property rights in the product, including software, design, functionality, documentation, licensing logic, trademarks, and related materials, remain the exclusive property of Simetrix Consult or its licensors. The Customer receives only a limited right to use the product in accordance with the End User License Agreement.

18. Governing Law and Jurisdiction

These terms are governed by the laws of the Republic of Bulgaria. Any disputes shall be subject to the competent courts of Bulgaria, unless mandatory applicable law requires otherwise.

19. Changes to These Terms

Simetrix Consult may update these terms from time to time. Updated terms will be published on the Simetrix Consult website. Continued use of the product after publication of updated terms constitutes acceptance of the updated terms, unless prohibited by applicable law.
