Licensing Policy

This Licensing Policy explains how Simetrix Consult software products are licensed, activated, validated, suspended, and renewed.

1. Licensing Model

Modern Timeline is licensed per Microsoft Dynamics 365 / Power Apps environment and based on the number of active Dynamics 365 licensed users. Each subscription applies to one environment only.

Subscriptions may be monthly or annual, depending on the applicable invoice, quotation, order form, marketplace subscription, or written agreement.

2. Trial Licenses

A trial subscription is valid for seven (7) days unless a different period is approved by Simetrix Consult in writing. Simetrix Consult may approve, extend, deny, or revoke trial licenses at its discretion.

3. Activation Key Requirements

To generate an activation key, the Customer must provide:

  • Microsoft Dynamics 365 / Power Apps organization URL;
  • organization ID;
  • number of active Dynamics 365 licensed users;
  • subscription term and billing details where applicable.

The activation key is valid only for the environment for which it was generated.

4. Subscription Start Date

The subscription starts when the activation key is generated and provided to the Customer. The subscription start date is not delayed by installation timing, internal Customer deployment delays, configuration delays, or lack of usage.

5. License Validation

The product validates the activation key against Simetrix Consult’s licensing server hosted in Azure. Validation is performed periodically. A validation cache may be stored locally for up to twelve (12) hours. After the cache expires, the product performs a new validation when a user attempts to access or use the solution.

The product requires internet access for activation and validation. If the product cannot validate the license after the cache expires, access may be restricted or disabled until validation succeeds.

6. Expired Subscriptions

If a subscription expires, the Customer should verify whether payment has been made for the applicable monthly or annual invoice. The expiration date is determined based on the current paid subscription period, invoice, marketplace subscription, or written agreement.

After expiration, access to the product may be disabled until the subscription is renewed and payment is confirmed.

7. Failed Validation

If activation validation fails unexpectedly, the Customer should contact support@simetrixconsult.com. If Simetrix Consult confirms that the validation failure was caused by an issue within Simetrix Consult’s control, Simetrix Consult may adjust the expiration date by adding the confirmed number of lost access days.

8. Exceeding Licensed Active Users

If the Customer exceeds the licensed active Dynamics 365 user count, the subscription may be deactivated during the next validation check. Access may be disabled and a message may be shown indicating that the maximum licensed users have been exceeded.

Access may be restored after the Customer purchases the required additional user capacity, reduces usage to the licensed level where applicable, or otherwise resolves the licensing discrepancy with Simetrix Consult.

9. One Environment Per License

A license may not be reused across multiple Dynamics 365 / Power Apps environments. Separate licenses are required for production, sandbox, test, development, backup, disaster recovery, or additional environments unless otherwise agreed in writing.

10. Customer Responsibility for Accuracy

The Customer is responsible for providing accurate licensing information, including organization URL, organization ID, and active Dynamics 365 licensed user count. Providing inaccurate or misleading licensing information may result in suspension, termination, invoice adjustment, or refusal of future licensing.

11. License Audits and Compliance Checks

Simetrix Consult may perform reasonable licensing compliance checks using activation metadata, validation metadata, telemetry, and information provided by the Customer. The Customer must cooperate with reasonable licensing verification requests.

12. Suspension and Revocation

Simetrix Consult may suspend, deactivate, or revoke an activation key if:

  • payment is overdue;
  • the subscription expires;
  • license validation fails;
  • the licensed user count is exceeded;
  • the activation key is shared, transferred, copied, or misused;
  • the product is used outside the licensed environment;
  • activation, validation, telemetry, or licensing controls are bypassed, modified, disabled, or interfered with;
  • the Customer breaches the Product Terms and Conditions or End User License Agreement.

13. Unauthorized Activation or Circumvention

Any attempt to replicate, copy, distribute, bypass activation, change source code, alter product functionality, interfere with licensing controls, or use the product beyond the licensed scope is prohibited. Where appropriate and permitted by law, Simetrix Consult may pursue legal remedies, report serious misuse to Microsoft, and refuse future access to Simetrix Consult products.

14. Offline Use

The product is not intended for permanent offline use. A temporary validation cache may allow limited continued use for up to twelve (12) hours. After that period, internet access is required for license validation.

15. Renewals

Renewals are subject to payment of applicable fees before the expiration date. Simetrix Consult may change pricing, licensing models, or renewal conditions for future subscription periods by providing notice through quotation, invoice, marketplace listing, website publication, or direct communication.

16. License Transfers

Licenses and activation keys are not transferable unless Simetrix Consult approves the transfer in writing. Environment migrations, tenant changes, organization URL changes, or organization ID changes may require a new activation key and additional verification.
